These Terms govern your use of Zaniti’s services. By accessing or using our platform, you agree to comply with them.

Welcome to Zaniti. These terms of service govern your use of our products, except where stated otherwise. References to our products in these terms of service refer to all of our products and services, including our apps, websites, and software.
These terms of service apply to most Zaniti customers. If you have signed up for Zaniti Business or Zaniti for Education, please refer to our Customer Business Agreement and Data Privacy Addendum. If you signed up for a Zaniti Pro account on behalf of a company, organization, or other legal entity, you must have authority to bind that entity to these terms. In such cases, “you” and “your” in these terms will refer to that legal entity. If you signed up for a Zaniti Pro account that has multiple users, please see “Limitations on Use and Responsibilities” for additional details.
Our mission is to help teams publish safer, more accurate, and more consistent work.
We offer free and paid products and hope you will purchase one of our paid products. Zaniti does not monetize data or use the content customers upload to our products for advertising purposes.
Billing. You can upgrade your account to access paid features, which will convert your account into a paid account. When you do that, we will automatically bill you from the date you convert to a paid account and on each periodic renewal until cancellation. You are responsible for all applicable taxes, and we will charge tax when required. Some countries have mandatory local laws regarding your cancellation rights, and this paragraph does not override those laws.
Refunds. Refunds are only provided if required by law or if Zaniti discontinues a paid service, in which case we will issue a pro-rata refund for any prepaid, unused portion. Refunds are not otherwise available.
Downgrades. Your paid account will remain in effect until it is canceled or terminated under these terms. If you do not pay for your paid account on time, we reserve the right to suspend it or reduce your access to the free version of our products.
Free Trials. Zaniti may offer a free trial membership. If you are using a free trial membership and cancel it before the end of the trial period, all your rights to any remaining free trial period will end. Typically, we will only offer one free trial per user.
Changes. We may change the fees in effect but will give you advance notice before those changes take effect. Any change in prices will apply to your next billing cycle.
Account Merges. If you open an account using an email address belonging to an employer or an organization that has purchased Zaniti Business, Zaniti Pro, or Zaniti for Education, your account may be merged with your employer’s or organization’s account upon their request. Following such a merger, your use of our services will be governed by the terms applicable to the parent account, which may differ from these terms.
User Content. User Content refers to the text, documents, and other materials you enter, upload, or transmit when you use our products. You own your User Content; Zaniti does not own it. To provide our products to you, we need your permission (in legal language, a license) to use your User Content.
You grant us a license to your User Content for the limited purposes of:
The license you give us is only for the above purposes. We will not sell or license your User Content to third-party data brokers.

For as long as intellectual property laws protect your User Content.
This license allows us, solely for the purposes outlined above, to store, reproduce, use, publish, display, modify, and create derivative works of your User Content. Our service providers may assist us in doing this.
Zaniti does not own, control, verify, or endorse User Content. You are responsible for all of your User Content. You should back up your User Content and not use our products for anything illegal or harmful, including violations of intellectual property or trade secret laws.
Some of our products allow you to download client software. As long as you comply with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our client software solely to access the products.
Our products are protected by copyright, trademark, and other laws. Except for this limited license, we reserve all rights, title, and interest in our products, trademarks, logos, and other brand features. We welcome feedback, and you agree that we may use it without restriction or obligation to you.
Generated Content. You may use generative AI features to submit inputs and receive outputs. Inputs and outputs together are User Content. You are responsible for your User Content and will not use Zaniti’s generative AI in a way that infringes, violates, or misappropriates any rights. You acknowledge that outputs may not be unique and Zaniti may generate the same or similar output for others.
Usage Limits. Depending on your subscription plan, you may have limits on your use of generative AI features. If you exceed these limits, you may need to purchase additional usage, or we may suspend or downgrade your access to these features.

Zaniti may publish a standalone Acceptable Use Policy with additional detail.
The products may contain links to third-party websites, or integrate with third-party software, products, or services. These Third Party Services and any Third Party Output are subject to their own terms, and Zaniti is not responsible for them. Your use of Third Party Services is solely between you and the applicable third party.
We sometimes release products and features still in testing. We will mark these as “beta,” “preview,” “early access,” or “evaluation.” If you use them, please note they may be less reliable or tested. To improve these products, we may log and analyze your usage.
Account Security. You are responsible for safeguarding your password and account credentials. Do not share them. You must ensure your account information stays accurate and current.
Minimum Age Requirements.You must be at least 13 if you reside in the United States and 16 if you reside elsewhere, unless a higher age is required in your jurisdiction. If you do not meet this age requirement, you may not use the products.
Multi-User Accounts. If you open a paid account on behalf of a company, organization, or other entity with multiple users, Zaniti will process the personal information of your end users in accordance with our Data Privacy Addendum. You are responsible for providing any required notices and obtaining any necessary consents. If you open a multi-user account without being a legal entity, Zaniti’s Privacy Policy will govern the processing of user information.
We may suspend or terminate your account if you breach these terms or our Acceptable Use Policy, use the products in a way that creates risk of harm or loss, or do not access your account for 12 consecutive months without payment. We may also suspend or terminate accounts for any reason with reasonable notice.
We will provide notice where possible and allow you to export your User Content. We may terminate without notice where required by law, where notice would create liability, or where you are in material breach. Termination does not affect amounts owed before termination.
We may change and improve our products by adding or removing features. If we discontinue a product, we will provide reasonable notice and a chance to export your User Content. If you prepaid for the product, we will provide a pro-rata refund for any unused portion.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZANITI, ITS AFFILIATES, AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING OUR PRODUCTS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SATISFACTORY QUALITY, SECURITY, RELIABILITY, AND PERFORMANCE. OUR PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.
ANITI DOES NOT WARRANT THAT OUTPUTS GENERATED BY GENERATIVE AI FEATURES WILL BE UNIQUE, ACCURATE, OR SUITABLE FOR YOUR USE CASES. YOU AGREE THAT YOU WILL NOT RELY ON OUTPUTS AS A SOLE SOURCE OF TRUTH OR PROFESSIONAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZANITI, ITS AFFILIATES, AND THEIR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ZANITI’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PRODUCTS EXCEED THE AMOUNT YOU PAID TO ZANITI IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
ZANITI PROVIDES TOOLS AND RECOMMENDATIONS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR LEGAL OR PROFESSIONAL ADVICE. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ALL OUTPUTS AND DECISIONS BASED ON THEM
If you are a business or organization, to the extent permitted by law, you agree to indemnify and hold harmless Zaniti, its affiliates, and their personnel from and against costs, losses, liabilities, and expenses (including reasonable attorneys’ fees) from third-party claims arising out of your misuse of the products or violation of these terms.
Before filing a claim, you agree to try to resolve disputes informally by contacting privacy@zaniti.io. If unresolved, either party may bring a formal proceeding.
Judicial Forum. These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of London, England, unless mandatory laws in your jurisdiction require otherwise.
Arbitration for U.S. Residents. If you are a U.S. resident, you agree to resolve disputes through final and binding arbitration by a single arbitrator, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in San Francisco County or virtually. Either party may assert claims in small claims court. You may opt out of arbitration by sending written notice to privacy@zaniti.io within 30 days of first accepting these terms.
No Class Actions. Disputes must be brought individually, not as a class or collective action
If you believe your copyright has been infringed, send a notice with the following to Zaniti’s Copyright Agent:

We may remove material alleged to infringe and terminate accounts of repeat infringers.
Entire Agreement. These terms form the entire agreement between you and Zaniti and replace prior agreements.
Waiver and Severability. Zaniti’s failure to enforce a term is not a waiver. If a term is unenforceable, the others remain in effect.
Assignment. You may not assign these terms. Zaniti may assign these terms to affiliates or successors.
Force Majeure. Neither party is liable for failure to perform due to circumstances beyond its reasonable control, including natural disasters, government actions, labor disputes, internet failures, or service provider outages.
Trade Controls. You must comply with applicable export, sanctions, and trade laws. The products may not be used in embargoed regions or by restricted parties.
